1. Acceptance of These Terms

These Terms of Service and Agreement of Use (the “Terms”) are a binding agreement between you and Centrien Group LLC, a Wyoming Series limited liability company (“Centrien,” “we,” “us”), governing your access to and use of the MarketHawk platform, including its dashboards, data feeds, signals, alerts, emails, and related services (collectively, the “Service”). By signing in to, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and by the Financial Disclaimer, which is incorporated into these Terms by reference. If you do not agree, do not access or use the Service.

2. The Service Is Informational Only — No Financial Advice

The Service monitors publicly traded markets and presents data, statistics, automated model output, charts, news classification, and alert notifications. All content is provided for informational and educational purposes only. Nothing in the Service constitutes, or should be construed as, financial, investment, legal, accounting, or tax advice; a recommendation, solicitation, or offer to buy or sell any security, option, or other financial instrument; or an endorsement of any investment strategy.

Automated “signals,” “strategies,” “alerts,” and similar outputs are the result of mechanical rules and statistical models applied to historical and live market data. They are not personalized to you, do not consider your financial situation, objectives, or risk tolerance, and are not advice. See the Financial Disclaimer for the full risk disclosure.

3. No Broker-Dealer or Adviser Relationship

Centrien Group LLC is not a registered broker-dealer, investment adviser, commodity trading advisor, or financial planner, and is not registered with the U.S. Securities and Exchange Commission, FINRA, the CFTC, the NFA, or any state securities regulator. Use of the Service does not create any fiduciary, advisory, brokerage, or client relationship between you and Centrien. The Service does not and cannot execute trades, hold funds, or access any brokerage account.

4. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into this agreement.
Access is by invitation; accounts are personal and non-transferable.
You are responsible for safeguarding your credentials and for all activity under your account. Notify the administrator immediately of any unauthorized use.
We may suspend or terminate access at any time, with or without cause or notice.

5. Acceptable Use

You agree not to: (a) resell, redistribute, republish, or provide third parties access to the Service or its data without written permission; (b) probe, scan, disrupt, overload, or attempt to gain unauthorized access to the Service or its infrastructure; (c) use automated means to scrape or bulk-extract content; (d) use the Service in violation of any law or regulation, including securities laws; or (e) remove or alter any proprietary notices.

6. Market Data and Third-Party Content

The Service displays data and content obtained from third-party sources (including market data vendors and news providers). Such data may be delayed, incomplete, inaccurate, or unavailable. Neither Centrien nor its data providers warrant the accuracy, timeliness, or completeness of any data, and none of them shall be liable for any errors, omissions, delays, or interruptions in the data or for actions you take in reliance on it. Third-party data remains the property of its respective owners.

7. Intellectual Property

The Service, including its software, design, logos, trademarks (including “MarketHawk” and the hawk mark), models, and content (excluding third-party data), is owned by Centrien Group LLC and protected by intellectual-property laws. You are granted a limited, revocable, non-exclusive, non-transferable license to use the Service for your own internal, non-commercial informational purposes.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE OR ANY SIGNAL, ALERT, OR DATA WILL BE ACCURATE, COMPLETE, TIMELY, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTRIEN GROUP LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, LOST OPPORTUNITY, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL CENTRIEN’S AGGREGATE LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify and hold harmless Centrien Group LLC and its members, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your trading or investment decisions, or your violation of these Terms.

11. Changes to the Service or Terms

We may modify, suspend, or discontinue the Service (or any part of it) at any time. We may update these Terms from time to time; the “Last updated” date above will change accordingly. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. Each sign-in constitutes a renewed acceptance of the then-current Terms.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts of competent jurisdiction in the State of Wyoming, and you consent to their jurisdiction. The Service is operated from facilities located in Niles, Illinois.

13. Miscellaneous

If any provision of these Terms is held unenforceable, the remainder shall remain in full effect. These Terms, together with the Financial Disclaimer, constitute the entire agreement between you and Centrien regarding the Service. Our failure to enforce any right is not a waiver of it.
